These Terms of Service (“Terms”) govern your access to and use of the Mr.Lister websites, applications, and related services (collectively, the “Services”) operated by Mr.Lister LLC (“Mr.Lister,” “we,” “us,” or “our”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

You must be at least 13 years old to use the Services. If you use the Services on behalf of a business or other entity, you represent that you have authority to bind that entity to these Terms.

If you create an account:

• You are responsible for maintaining the confidentiality of your login credentials.
   
• You are responsible for all activity that occurs under your account.
   
• You agree to notify us promptly of any unauthorized access or use of your account.
   

You agree to use the Services only for lawful purposes and in accordance with these Terms.

You may not:

• Use the Services for unlawful, harmful, deceptive, or fraudulent activities.
   
• Attempt to gain unauthorized access to accounts, systems, or networks.
   
• Interfere with, disrupt, or degrade the Services or the systems that host the Services.
   
• Reverse engineer, decompile, or attempt to extract source code from the Services, except to the extent permitted by law.
   
• Upload, transmit, or distribute malware, spyware, or other harmful code.
   
• Scrape, harvest, or collect personal information about other users without permission.
   
• Use the Services to send spam or unauthorized marketing.
   

The Services may allow you to submit, upload, publish, or otherwise make available content, including listings, messages, comments, images, and other materials (“User Content”).

• You retain ownership of your User Content.
   
• You grant Mr.Lister a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to host, store, reproduce, modify (for formatting and technical processing), display, distribute, and otherwise use your User Content solely to operate, provide, maintain, and improve the Services.
   
• You represent and warrant that you have all rights necessary to provide User Content and that your User Content does not violate any law or any third-party rights.
   
• We may remove or restrict access to User Content at any time if we believe it violates these Terms or may harm the Services, users, or third parties.
   

The Services may include links to, or integrations with, third-party services (for example, payment processors, analytics providers, or automation tools you connect). Third-party services are governed by their own terms and policies. We are not responsible for third-party services, and your use of them is at your own risk.

Some features of the Services may require payment or a subscription.

• Pricing, billing frequency, and feature availability will be disclosed at the time of purchase.
   
• Payments are processed by third-party payment processors. We do not store full credit card numbers.
   
• Unless otherwise required by law or explicitly stated, fees are non-refundable.
   
• We may change pricing or plan features in the future, but changes will not apply retroactively to amounts already paid.
   

Except for User Content, the Services and all related content, features, and functionality (including software, design, text, graphics, logos, and trademarks) are owned by Mr.Lister or its licensors and are protected by intellectual property laws.

Subject to these Terms, you are granted a limited, non-exclusive, non-transferable, revocable license to use the Services for your internal business or personal use.

You may not use our trademarks, logos, or branding without our prior written permission.

We may suspend or terminate your access to the Services at any time if we reasonably believe you have violated these Terms or if necessary to protect the Services, our users, or our rights.

You may stop using the Services at any time.

Sections that by their nature should survive termination will survive, including (without limitation): User Content license, intellectual property provisions, disclaimers, limitation of liability, and indemnification.

The Services are provided on an “AS IS” and “AS AVAILABLE” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Services will be uninterrupted, error-free, secure, or free of harmful components.

To the maximum extent permitted by law, Mr.Lister and its affiliates, officers, employees, agents, and licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or other intangible losses arising out of or related to your use of (or inability to use) the Services.

To the maximum extent permitted by law, Mr.Lister’s total liability for any claim arising out of or relating to the Services will not exceed the amount you paid to Mr.Lister for the Services in the 12 months immediately preceding the event giving rise to the claim, or $100, whichever is greater.

You agree to defend, indemnify, and hold harmless Mr.Lister and its affiliates, officers, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• Your use of the Services
   
• Your User Content
   
• Your violation of these Terms
   
• Your violation of any rights of another party
   

We may update the Services or these Terms from time to time. If we make material changes, we may provide notice by posting the updated Terms and updating the “Last Updated” date. Your continued use of the Services after changes become effective means you accept the updated Terms.

These Terms are governed by the laws of the State of Oregon, without regard to conflict of laws principles, except where prohibited by law.
